Final Columbia/Adair Utilities District merger closing today

New streamlined efficient, effective county-wide utilities system - except for curiously orphaned Columbia Gas Department - will become a reality, following scheduled final signing of documents today.

If all goes as planned, the merger to establish the Columbia/Adair County Water District will be complete today at around noon, according to CAUD General Manager Lenny Stone.

Final documents will be signed today, Thursday, July 21, 2011, at the CAUD Conference Room at 109 Grant Lane, Columbia, KY, beginning at 10amCT.



The merger put together Columbia Water and Sewer and the Adair County Water District and folded in, later, the Columbia-Adair Water Commission, overseers of the Adair County Water on Griffin Springs RD on the Taylor County side of Coburg into streamlined utilities system, save for the orphaned City of Columbia Gas Department, which, curiously, has not been part of the merger. Were it to be merged, the county would be able to present a unified utilities proposal for any prospective employer, retail outlet, or resident, with consequent overall efficiencies.

The session will involve signing of paperwork, and may take as much as two hours or more to complete, he said.

Earlier, it had been anticipated that the final merger might not come until as late as September 31, 2011.

Stone made the announcement at the District Board's July 14, 2011, meeting.

Merger will allow acceleration of financing

The board gave General Manager Stone authority to borrow interim financing of up to $2 million as a bridge loan for work on the district's Phase 12 construction, the 12" line to South Adair County and the construction of a 750,000 gallon tank at Sparksville.

The interim financing will be at 2.6% with either or both the Bank of Columbia and First & Farmers National Bank agreeing to participate in the bridge loan. The vote to approve the loan was made on a motion by Rabon Burton, seconed by Rudy Higginbotham, with Chairman Danny Downey joining them on the final 3-0 vote. Member Robert Flowers, CEO of the Bank of Columbia, abstained. Member Larry Legg was not present for the meeting. The bridge loan was necessary because of a delay in KIA financing, which was contingent on rate changes, which could not be approved by the Public Service Commission until the merger was complete. The Catch 22 will be resolved much sooner, however, with the finalization of the utilities district merger today.

Phase 12 is well underway

Mr. Stone told the board that the Sparksville projects are moving along at a good pace. At the meeting, he said that pipe had been installed to the Randy Curry property on KY 61, but, at the time, had not been connected.

Stone told the board that he expects construction of the new composite tank at Sparksville to be underway by the first of September of this year.

Also in attendance were District Attorney Marshall Loy, City Clerk Sonya Roy, Ann Marie Austin from the City, Jennifer Carter from the District, Rural Development Specialist Kevin Antle and Mark Givens. Also in attendance was Attorney Damon Talley who handled the merger. All parties were well pleased with the closing of this merger and the District would like to thank Mr. Talley, Mayor Mark Harris, City Clerk Sonya Roy, former Mayor Pat Bell, former Clerk Carolyn Edwards, Attorney Marshall Loy, Ann Marie Austin, Kevin Antle with Rural Development and all other parties that helped in the facilitation of the merger with the City of Columbia Sewer and Water departments. -Jennifer Carter
